About the role:
The Legal Director is responsible for providing legal advice to the executive management and the board of directors, ensuring compliance with applicable laws and regulations, and managing the legal risks of the listed company. This role also involves overseeing the preparation and drafting of contracts and agreements, representing the company in legal disputes, and ensuring the application of best legal practices in line with financial market requirements.
Key Responsibilities:

Compliance and Governance:
- Ensure the company's compliance with all regulations and laws issued by regulatory bodies (such as the Capital Market Authority, Ministry of Commerce, etc.).
- Provide legal advice to the board of directors and executive management on regulatory and governance matters.
- Oversee the preparation of legal reports and ensure compliance with disclosure and transparency requirements.

Contract Preparation and Review:
- Prepare, draft, and review all legal contracts and agreements entered into by the company with internal and external parties.
- Negotiate the legal terms of contracts to ensure the protection of the company's interests.

Legal Risk Management:
- Identify and assess legal risks that the company may face and work to mitigate them.
- Develop legal policies and procedures to ensure compliance and reduce potential risks.

Dispute and Legal Case Management:
- Represent the company in legal disputes and cases before judicial and regulatory authorities.
- Coordinate with external law firms when necessary to manage complex legal cases.

Internal Legal Consultations:
- Provide legal consultations to all internal departments to ensure that business operations comply with regulations.
- Educate employees on legal matters and provide necessary training on legal compliance.

Monitoring Laws and Regulations:
- Monitor changes in laws and regulations that affect the company's operations and provide appropriate recommendations for adaptation.
- Ensure that legal policies and procedures are updated to comply with new regulatory requirements.
Qualifications and Experience Required:
- Bachelor's or Master's degree in Law or equivalent.
- At least 8-12 years of experience in legal affairs, preferably in a listed company or the investment and financial markets sector.
- In-depth knowledge of Saudi laws and regulations related to listed companies (such as the Companies Law, Capital Market Law, regulations of the Capital Market Authority, governance, etc.).
- Strong leadership and management skills with the ability to manage a multidisciplinary legal team.
- Excellent negotiation, legal analysis, and problem-solving skills.
- Ability to effectively interact with regulatory bodies and external legal advisors.
- Proficiency in Arabic and English (spoken and written) at a professional level.
